CHANGES TO THE BOARD
Shareholders are also advised that Dr MJC van Vuuren and Dr J Kopp have resigned
as non-executive directors. In their stead were appointed, with immediate
effect, Mr Jim Myers, Mr Andrew Bonamour and Mr William Marshall-Smith, all as
non-executive directors. Mr AC de Villiers resigned as executive director but
will remain with the company as General Manager, Corporate Services.
Mr Ivor Tucker remains the CEO of the company and the acting Chairman of the
Board until March this year when, upon finalisation of the Yorkcor-Blackstar
transaction and joint offer to shareholders, he will relinquish his executive
functions to Mr Lance Cooper, the current Chief Operations Officer who will then
become the CEO, and take up the non-executive chairmanship of the Yorkcor Board.
BOARD COMPOSITION SUMMARY
The current Yorkcor Board comprises 8 directors, 5 of whom are non-executive
directors and 3 executive directors. Ivor Tucker, for the time being an
executive director, is the acting Chairman.

Director) under the non-executive chairmanship of Ivor Tucker.
