Withdrawal of Cautionary Announcement
Shareholders are referred to the cautionary announcements issued on 9 January
2007 and 22 January 2007. Although price levels discussed with potential
offerors for the group represented premiums to the current price at which
Sethold`s shares are trading on the JSE, the Board is of the view that the price
levels do not represent adequate value. After consultation with shareholders
holding in excess of 50% of the company`s shares, the Board has declined to
continue negotiations with any of the potential offerors for the time being.
The cautionary announcement is accordingly withdrawn.
Shareholders are, however, advised that the Board is considering a limited issue
of shares up to 10% for cash to potential BEE partners in order to increase the
group`s BEE shareholding to greater than 25%.
