PROPOSED INVESTMENT BY VUNANI CAPITAL (PTY) LIMITED ("VUNANI") AND CAUTIONARY
ANNOUNCEMENT
Shareholders are advised that, as part of its ongoing commitment to Black
Economic Empowerment PSV and its major shareholders have entered into a Heads of
Agreement ("Heads of Agreement") with Vunani to offer a strategic shareholding
of 55 million ordinary shares equivalent to 27.6% in PSV to Vunani.
In terms of the heads of agreement, PSV will offer 25 000 000 new shares to
Vunani at 57 cents per share and AB Da Silva,P Robinson and Tony Dreisenstock,
all directors of PSV, will collectively sell 15 000 000 PSV shares at 57 cents
per share to Vunani. In addition AB Da Silva, P Robinson and Tony Dreisenstock
have also granted a call option of 15 000 000 PSV shares at 57 cents per share.
Shareholders are advised to exercise caution when dealing in the company`s
securities until a full announcement is made.
