Notice Of Grant Of Phantom Shares
Notice is hereby given that the following executive directors were granted
phantom shares in terms of the Absa Group Phantom Performance Share Plan
("Phantom PSP") effective 1 March 2007.
Under the Phantom PSP, awards are granted as a provisional allocation and
do not give rise to any entitlement to shares. At the third anniversary,
Phantom PSP shares may be released by the Absa Group Remuneration Committee
subject to performance conditions being satisfied. The multiples at which
the initial award can vest varies from zero to three.
The calculation of the initial award was based on a share price of R134.93
being the volume-weighted average traded price of Absa ordinary shares on
the JSE over 20 trading days immediately prior to 1 March 2007. No
consideration was paid for the grant of the award.
