Datatec - distribution of circular to shareholders
Datatec declared a cash dividend of 225 cents per ordinary share for shareholders registered on 17 July 2026, with the option to receive the dividend in the form of newly issued Datatec shares instead of cash through a scrip distribution alternative. Shareholders may elect the scrip option for all or part of their holdings, with the number of new shares to be determined using a formula based on the company's share price (VWAP) over the 30 trading days ending 6 July 2026; the final ratio will be announced on 7 July 2026. Any fractional share entitlements will be rounded down, with shareholders receiving a cash payment for the fractional portion. The cash dividend will be subject to 20% South African Dividend Withholding Tax (DWT), resulting in a net dividend of 180 cents per share for South African resident shareholders that are liable for DWT, while the scrip distribution itself is not subject to DWT. Shareholders wishing to elect the scrip alternative must do so by 12:00 noon on 17 July 2026, and cash payments or scrip shares will be credited on 20 July 2026. A circular containing full details of the offer was distributed to shareholders on 3 June 2026.
