Emira - Octodec share acquisition offer
Emira, through a wholly owned subsidiary, Freestone Property Investments (Pty) Ltd. acquired 53 698 356 shares in Octodec Investments Ltd. for R891 773 046, representing c20.17% of Octodec. Following this, Emira has made a voluntary offer to purchase up to 39 204 583 additional Octodec shares at R16.75 per share, which would increase its stake to 34.9%. The offer is open until 12:00 on 8 May 2026, with acceptance via participation tenders. Octodec’s assets include 219 properties valued at R11.2 billion, with key financial metrics such as distributable income per share of 171.50 cents and net asset value per share of R24.55. The transaction is classified as a category 2 deal under JSE rules and does not require shareholder approval.
